Data Processing Terms
Effective date: October 28, 2026
1. Acceptance and Scope
These Terms and Conditions (“Terms”) govern access to and use of the website operated for Ingenious Dataworks, Inc. (“IGD,” “we,” “us,” or “our”), including www.IngeniousDataworks.com, and, where no separate signed agreement governs, access to IGD’s software and services, including WynnoIQ and related offerings. By accessing the website, creating an account, purchasing a subscription, or using a service governed by these Terms, you agree to the applicable provisions. If you do not agree, do not use the website or service.
An order form, proposal, subscription order, statement of work, service-specific terms, or data-processing addendum (“DPA”) signed by IGD and the customer may supplement or supersede these Terms. If documents conflict, the following order applies unless the signed agreement says otherwise: the DPA controls personal-data processing matters; the order form controls subscription scope, fees, and term; and these Terms govern other matters.
2. Website Information
The website provides general information about IGD, WynnoIQ, our technology, and related offerings. Website content may be incomplete, may change, and is provided for general informational purposes. Contacting IGD or submitting a demo request does not obligate IGD to provide a demonstration, enter into a transaction, or establish a business relationship.
Product descriptions, demonstrations, roadmaps, and performance statements are informational unless expressly incorporated into a signed order form or agreement. Customers should evaluate a product’s suitability for their intended use and must not rely on website content as a guarantee of a particular result.
3. Demo and Contact Forms
Our demo/contact form is intended to collect your first name, last name, and email address. Do not submit confidential, regulated, or sensitive personal information through the form. If information must be shared for a business evaluation, obtain written instructions from IGD and use an approved method.
You agree that information you submit is accurate to the best of your knowledge and that you will not use the form to submit unlawful content, malicious code, or information you are not authorized to provide.
4. Privacy, Cookies, and Analytics
Your use of the website is also subject to the IGD Privacy Policyand Notice at Collection, which describe how personal information is handled. Please review those notices before submitting information.
The website is hosted using Vercel. We plan to use Google Analytics to measure website traffic and understand visitor interactions. Depending on settings, analytics may use cookies or similar technologies and process usage, device, browser, referral, and approximate location information. Where required by law, analytics technologies will be subject to appropriate consent or preference controls. Please consult the Privacy Policy for details and choices.
Google Gmail is used for email services, and Mailchimp is used to send marketing email announcements about IGD software and Put Data First conferences and events. Third-party services may be governed by their own terms and privacy notices.
5. Intellectual Property
Unless otherwise indicated, the website and its content—including text, graphics, logos, product names, designs, software descriptions, documentation, and other materials—are owned by IGD or its licensors and are protected by applicable intellectual property laws.
You may view and use website content for your own internal, lawful, non-commercial evaluation of IGD and its offerings. You may not reproduce, modify, distribute, publicly display, create derivative works from, sell, or commercially exploit website content without IGD’s prior written permission, except where applicable law permits otherwise. No rights are granted except as expressly stated in these Terms.
6. Acceptable Use
You agree not to use the website in violation of law; interfere with or disrupt the website, hosting, or security; attempt unauthorized access to systems, accounts, or data; introduce malware or harmful code; scrape or harvest information in a manner that violates law or materially burdens the website; misrepresent your identity or affiliation; or use website content to infringe another person’s rights.
7. Software and Separate Agreements
Subject to payment of applicable fees and compliance with the agreement, IGD grants the customer during the subscription term a limited, non-exclusive, non-transferable, non-sublicensable right for its authorized users to access and use the software solely for the customer’s internal business purposes and within the scope, usage limits, and environment described in the applicable order form. The customer may not resell, sublicense, rent, lease, or make the service available to third parties except as expressly permitted in writing by IGD.
Except to the extent a restriction is prohibited by law, the customer will not copy, modify, or create derivative works of the software; reverse engineer, decompile, or attempt to discover source code, underlying models, or non-public interfaces; bypass usage limits or security controls; use the service to build or benchmark a competing product using non-public information; or remove proprietary notices. The customer retains all rights not expressly granted. IGD and its licensors retain all rights in the software, models, documentation, and related technology.
Unless an order form states otherwise, subscriptions begin on the start date in the order form and continue for the stated initial term. Renewal, cancellation deadlines, fees, invoicing, payment timing, taxes, and any usage-based charges will be stated in the order form. Fees are non-refundable except as expressly stated in the order form or required by law. IGD may suspend access for overdue undisputed amounts after reasonable notice, or immediately where reasonably necessary to address a security risk or unlawful use.
The customer is responsible for its accounts, authorized users, credentials, devices, internet connectivity, and use of the service. The customer must promptly notify IGD of suspected unauthorized access and must not share credentials among users where individual accounts are required.
8. Customer Content and Data Processing
“Customer Content” means documents, files, records, text, data, and other materials submitted to or processed through the service by or for the customer. As between IGD and the customer, the customer retains its rights in Customer Content. The customer grants IGD a limited, non-exclusive right to host, copy, transmit, process, display, and otherwise use Customer Content only as reasonably necessary to provide, maintain, secure, troubleshoot, and support the service, comply with law, and perform the applicable agreement.
The customer represents that it has all rights, notices, permissions, and lawful bases necessary to provide Customer Content and authorize its processing. The customer must not submit data unlawfully or use the service to process information in violation of applicable law or third-party rights. The customer is responsible for determining whether its use requires a separate DPA, business associate agreement, or other regulated-data agreement and must obtain IGD’s written agreement before submitting regulated data that requires special contractual safeguards.
IGD will not use identifiable Customer Content to train general-purpose models or to develop products for other customers unless the customer separately authorizes that use in writing. IGD may use service telemetry and operational data that does not identify the customer’s content to operate, secure, and improve the service.
If IGD processes personal data in Customer Content on the customer’s behalf, the customer generally acts as controller or business and IGD acts as processor or service provider, as applicable to the circumstances and law. A separate Data Processing Addendum (“DPA”) will apply when required by applicable law or agreed in writing by the parties. Customers may request a copy of IGD’s DPA during contracting or onboarding. The DPA, when executed or otherwise validly incorporated into the parties’ agreement, will govern the parties’ respective data-processing obligations for the covered processing and address, as applicable, processing instructions, confidentiality, security, subprocessors, assistance with individual rights, security-incident notice, and return or deletion of personal data. If the DPA conflicts with these Terms solely regarding the processing of personal data covered by the DPA, the DPA will control for that subject matter.
9. Security and Data Handling
IGD will maintain reasonable administrative, technical, and organizational safeguards designed to protect Customer Content against unauthorized access, loss, misuse, or disclosure. Safeguards may include access controls, limiting access to personnel and service providers with a business need, secure transmission where supported, and operational measures appropriate to the nature of the service and data. Specific security controls, certifications, audit rights, encryption requirements, backup arrangements, recovery objectives, or service levels apply only if expressly documented in a signed agreement or security exhibit.
IGD will require personnel authorized to handle Customer Content to be subject to appropriate confidentiality obligations. IGD may use service providers and subprocessors to host, operate, secure, or support the service and will remain responsible for their processing to the extent required by applicable law and the relevant customer agreement.
If IGD confirms a security incident involving unauthorized access to Customer Content that requires notice under applicable law or a signed agreement, IGD will notify the customer without undue delay after confirmation and provide information reasonably available to help the customer meet its legal obligations. This provision does not promise that every attempted attack or unsuccessful event will trigger notice.
Upon expiration or termination of the applicable subscription, IGD will make Customer Content available for export or deletion as described in the order form, product documentation, or DPA. If no period is specified, IGD will use commercially reasonable efforts to delete active Customer Content within 30 days after the customer’s written request or termination, except for data retained in routine backups, security logs, legal records, or as required by law. Backup copies will be overwritten or deleted in the ordinary course, and any retained data remains subject to applicable confidentiality and security obligations.
No software or security program can guarantee absolute security. The customer is responsible for maintaining appropriate copies of its original documents and for evaluating whether the service and its safeguards are suitable for its use case.
10. Third-Party Websites and Services
The website may refer to or link to third-party websites or services. IGD does not control and is not responsible for third-party content, policies, availability, or practices. A link or reference does not imply endorsement. Your use of a third-party website or service is governed by its own terms and policies.
11. Disclaimers
To the fullest extent permitted by law, the website and its content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. IGD does not warrant that the website will be uninterrupted, error-free, secure, or free of harmful components, or that website content is complete, current, or suitable for your particular needs.
Information on the website is not legal, financial, security, medical, or other professional advice. You are responsible for evaluating information and making decisions appropriate to your circumstances.
12. Limitation of Liability
To the fullest extent permitted by law, IGD and its officers, directors, employees, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities, arising out of or related to the website or service, even if advised of the possibility of such damages.
For paid software services, to the fullest extent permitted by law, IGD’s total aggregate liability arising out of or relating to the applicable service or agreement will not exceed the fees paid or payable by the customer to IGD for that service during the 12 months immediately before the event giving rise to the claim. For website-only use where no fees were paid or payable, IGD’s total aggregate liability will not exceed US $1,000. These limits do not apply to liability that cannot lawfully be limited, and any different cap or carve-out in a signed order form or DPA will control for the matters it addresses.
13. Indemnification
To the extent permitted by law, you agree to be responsible for claims, liabilities, damages, and reasonable costs arising from your unlawful use of the website or your material violation of these Terms. This section does not require you to indemnify IGD for claims caused by IGD’s own wrongdoing where such an obligation is prohibited by law.
14. Changes, Suspension, and Termination
IGD may modify, suspend, or discontinue any part of the website at any time, with or without notice. We may restrict or terminate access if we reasonably believe use violates these Terms, threatens website security, or creates legal or operational risk.
We may update these Terms from time to time. The Effective Date indicates when the current version takes effect. Updated Terms will be posted on the website. Your continued use of the website after updated Terms take effect constitutes acceptance of the updated Terms to the extent permitted by law.
15. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Subject to any mandatory legal requirements, disputes relating to these Terms or the website will be brought in the state or federal courts located in Orange County, California, and the parties consent to the jurisdiction of those courts.
16. General Provisions
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law. IGD’s failure to enforce a provision is not a waiver. You may not assign these Terms without IGD’s prior written consent; IGD may assign them in connection with a merger, reorganization, or sale of assets, subject to applicable law. These Terms, together with any applicable separate written agreement and the Privacy Policy as to privacy matters, constitute the understanding governing your use of the website.
